End User License Agreement

1. Acceptance of Terms

By accessing or using the Qeja Real Estate Management platform ("Platform", "Service"), including any third-party integrations, you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement. If you do not agree to these terms, you may not use the Platform.

This Agreement is entered into between you ("User", "you", or "your") and Qeja Real Estate Management ("Qeja", "we", "us", or "our").

2. License Grant

Subject to your compliance with this Agreement, Qeja grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Platform for your property management business purposes
• Connect authorized third-party services to enhance Platform functionality
• Store, process, and manage property and tenant data within the Platform
• Generate reports, invoices, and documents using Platform features

3. Third-Party Integrations

The Platform integrates with various third-party services to provide enhanced functionality. By connecting these services, you acknowledge and agree to the following:

3.1 Integrated Services

The Platform may integrate with the following categories of third-party services:

3.2 Authorization and Data Access

When you connect a third-party service:

• You authorize the Platform to access, retrieve, and synchronize data between the Platform and the third-party service on your behalf
• You represent that you have the authority to grant such access and that doing so does not violate any agreements with the third-party service
• You understand that the third-party service's own terms of service and privacy policy also apply to your use of that service
• You acknowledge that we may store tokens, credentials, or other authentication data necessary to maintain the integration

3.3 QuickBooks Online (Intuit) Integration

• Access your QuickBooks company data including customers, invoices, payments, and accounts
• Create, read, update, and synchronize invoices and payment records
• Retrieve financial reports and transaction data for display within the Platform
• Store OAuth tokens to maintain your connection (tokens are encrypted and securely stored)

You may disconnect your QuickBooks account at any time through your organization's integration settings. Upon disconnection, we will cease accessing your QuickBooks data, though previously synchronized data may be retained within the Platform according to our data retention policies.

Your use of QuickBooks Online is also subject to Intuit's Terms of Service and Intuit's Privacy Statement.

3.4 Disconnecting Integrations

You may disconnect any third-party integration at any time through your account settings. Upon disconnection:

• We will stop accessing the third-party service on your behalf
• Authentication tokens will be deleted from our systems
• Previously synchronized data may be retained according to our data retention policy and applicable laws
• Some Platform features that depend on the integration may become unavailable

4. User Responsibilities

You agree to:

• Provide accurate and complete information when registering and using the Platform
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations, including data protection laws
• Obtain necessary consents from tenants and other parties before collecting or processing their data
• Use the Platform and integrations only for lawful property management purposes
• Not attempt to reverse engineer, decompile, or disassemble the Platform
• Not use the Platform to transmit malicious code or interfere with its operation

5. Data Protection and Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

When using third-party integrations, data may be transmitted to and processed by those third parties according to their own privacy policies.

6. Intellectual Property

The Platform, including its design, features, content, and underlying technology, is owned by Qeja and protected by intellectual property laws. This Agreement does not grant you any ownership rights in the Platform.

You retain ownership of the data you input into the Platform. By using the Platform, you grant Qeja a license to use, process, and store your data as necessary to provide the Service.

7. Service Availability

We strive to maintain high availability of the Platform but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Technical issues or system failures
• Third-party service outages affecting integrations
• Circumstances beyond our reasonable control

8. Disclaimer of Warranties

THE PLATFORM AND ALL THIRD-PARTY INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, QEJA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will meet your specific requirements
• The Platform will be uninterrupted, timely, secure, or error-free
• Third-party integrations will function without interruption
• Any errors in the Platform will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QEJA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR THIRD-PARTY INTEGRATIONS.

Our total liability for any claims arising from this Agreement shall not exceed the amount you paid to Qeja in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Qeja and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Platform or third-party integrations
• Your violation of this Agreement
• Your violation of any applicable laws or third-party rights
• Any data you submit or process through the Platform

11. Termination

This Agreement remains in effect until terminated. We may terminate or suspend your access to the Platform at any time for violation of this Agreement or for any other reason with notice. You may terminate by discontinuing use of the Platform and closing your account.

Upon termination:

• Your license to use the Platform immediately ends
• All third-party integrations will be disconnected
• You may request export of your data within 30 days
• Provisions that by their nature should survive termination will remain in effect

12. Changes to This Agreement

We may update this EULA from time to time. We will notify you of material changes by posting a notice on the Platform or sending you an email. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Agreement.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes arising from this Agreement shall be resolved in the courts of Kenya.
